MEMBERSHIP AGREEMENT

 

  • Parties

 

  1. Empress Mucevher Ticaret A.S., which carries out internet web site activities of www.gilan.com and resides at the address of Molla Fenari Mah. Bab-ı Ali Cad. No:9/4 34120 Fatih-ISTANBUL  (hereafter will be referred as (“Gilan”);
  2. The internet user, who is a member of www.gilan.com internet website (“Member”).

 

  • Subject of Agreement

 

The subject of this agreement is determining the benefiting conditions of the Member from  www.gilan.com internet website, owned by Gilan. 

 

  • Rights and Liabilities of the Parties

 

  1. The member hereby states and undertakes that the personal information and other information, he/she  provided  as he/she was becoming a member to the www.gilan.com internet website, is correct before the laws and he/she will compensate the damages of Gilan as they are immediately for the reason of providing incorrect  information.
  2. The Member may not give the password, which was provided by Gilan to himself/herself, to other persons or institutions and the right of using this right personally belongs to the Member himself/herself. Thus, all  kind of compensation and other claim rights  of Gilan against all kind of claims and demands, which will be arising from unauthorized utilization, that will be made by the third persons  or competent authorities, are reserved. 
  3. The Member hereby accepts and undertakes in advance to obey the provisions of relevant legislation and not to violate them  while he/she is using www.gilan.com internet website. Otherwise, the legal and criminal liabilities, which will be arising, will  be  totally and exclusively binding the Member.
  4. The Member may not use the www.gilan.com internet website in any manner that will be contrary to the general ethics by harassing others; disturb the public order; use it  for illegal purposes and in the manner which will infringe others’ intellectual and royalty rights. Furthermore, the Member may not be engaged in activities and make transactions (such as spam, virus, Trojan horse        etc.)  that will prevent other members’, who are  using the services of Gilan or making it difficult for them to use these services.
  5. The opinions and thoughts, which are stated, written, used  in the www.gilan.com internet website  by the Members, are completely  personal opinions and thoughts of  the Members and  they only bind the owner of the opinion. These opinions and thoughts aren’t related to Gilan  and have no connection with Gilan.  Gilan doesn’t have any responsibility for the damages, the third persons will suffer for the intellectual  opinions and thoughts, which will be stated by the member or the damages of the member, which will be arising from the intellectual opinions and thoughts, that will be stated by the third persons.
  6. Gilan will not be held responsible from the damages, that will occur from unauthorized reading of the member data and the damages, which will come to the member’s  software and the data. The Member hereby accepts in advance not to claim any compensation from Gilan for any damages, which he/she will suffer because of his/her utilization of the www.gilan.com internet website.
  7. The Member hereby accepts not to have access to  the software and the data of other internet users or use them in any manner. Otherwise, all legal and criminal liabilities, which will arising from this,  will belong to the Member.
  8. The Member, who violates any articles of this Membership Agreement, is personally responsible from the legal and criminal outcome of this breach and will protect Gilan against  the legal and criminal outcome of these breaches. Furthermore, in case these breaches are   passed on the legal grounds, Gilan reserves  the right of claiming compensation against Member because of the failure to comply with the membership agreement.
  9. Gilan unilaterally has the right to delete the membership of the member, the file, document and information that belong to the customer when it is required. The Member hereby accepts this saving of Gilan in advance. In this case, Gina will bear no responsibility. 
  10. The design and software of www.gilan.com internet website are the properties of Gilan; the royalty and other intellectual property rights related to them are protected by law and may not be used, acquired and amended  by the Member without permission. The owners of other companies and products, mentioned in this website are trademarks of their owners and protected within scope of intellectual property rights.
  11. The information, such as name and Internet Protocol (IP) address of internet service provider, which is used to have access to the website within legal legislation and/or aimed at developing, improving of www.gilan.com internet website and the information related to the date /hour of access to the website, accessed pages and internet website of website, which provide direct connection to the website may be collected by Gilan.
  12. Gilan  may use the personal information of the members in the works, aimed at the areas of  their concern and special choices of the users for providing better service to them, improving its products and services and to  facilitate the utilization of the website.   Gilan reserves the right of holding of the records of the activities, made by the member in www.gilan.com internet website.
  13. The person, who becomes a member in Gilan, states and accepts that he/gives his/her consent for presentation of  product and service    promotion, advertisement, campaigns, advantages, surveys and other customer satisfaction applications by Gilan and all other Gilan Affiliate companies within scope of the legislation in force and/or will be in force. The Member hereby accepts and states that he/she gives permission to Gilan to collect  his/her personal, shopping and consumer habit information, which he/she had given as he/she was becoming a member or by other means and this information to be shared archived by other Gilan affiliate companies. Unless otherwise is stated, the Member also hereby also gives his/her permission that this data to be collected by Gilan and to be used/ shared with all Gilan affiliates even when the membership of the member  has been  expired.  Unless otherwise is stated, the Member also hereby accepts and states that he/she gives permission to Gilan and all Gilan affiliate companies to communicate with him/her by using communication channels such as SMS, telephone and internet. The Member hereby states and accepts that he/she will not make any material / spiritual damages, he/she will suffer because of the collection, sharing, using and archiving of the foregoing information and will not hold the Gilan affiliate companies for these type of damages.   14. Gilan may disclose the personal information of the Member when it is mandatorily required by law  or (a) to comply with the legal transactions that will be served to Gilan (b) to protect the rights and property of Gilan and www.gilan.com website family when it had the opinion in god faith  that it is essential.
  15. Necessary precautions have been taken for cleaning of the website from viruses and similar software within frame of existing facilitates. Besides, the end user  is also required to provide his/her own virus protection system and necessary protection to  ensure final security.  In this context, the Member hereby accepts that he will be responsible from direct or indirect errors and their results, which will occur in his/her operation systems when he/she entered in the website of Gilan. 
  16. Gilan reserves  the right of changing of the contents of the website, any service, which is provided to the users or terminating them or deleting the user information and data, recorded in Gilan website. 
  17. Gilan may change, update or cancel the conditions of the membership agreement in any manner and/or without a need for a notification or serving a notice at any time. Any provision, that will be updated  or removed from the force, will be effective for all members on the date of its publication. 
  18. The parties hereby accept and state that the computer records of the Parties will be based on   the  sole  and exclusive evidence in accordance with article no 287 of HUMK and the aforesaid records will constitute an evidence agreement.
  19. Although Gilan has the authority to send e-mail information to the mail addresses of its members and  SMS information to their mobile phones, registered in its records in accordance with this Membership Agreement, the Member hereby accepts that he will be considered accepting these e-mails and SMS messages along  with the approval of this membership agreement. In case the Member gives up from receiving of e-mail and SMS message, he/she will be able to realize the e-mail and SMS message sending cancellation transaction  from the “My Preferences” part of in the “My Page “ section.

 

  • Termination Of the Agreement

 

This Agreement will remain in force until the Member cancels his/her membership or his/her membership is terminated by Gilan.  In case the members violate any provision of   this membership agreement, Gilan will be able to terminate the membership of the Member by cancelling it unilaterally.

 

  • Settlement of Disputes

 

Istanbul Courts and Enforcement Offices are authorized in the disputes, related to this Agreement.

 

  • Enforcement

 

Making of the Member his/her membership registration means that the member has read all articles in the Membership Agreement and accepted them. This Agreement has been executed  at the moment of being a member and entered into the force reciprocally.
